Subject outline

This subject ties together the full range of legal, managerial and ethical issues which affect corporate governance best practice. It identifies the best practice principles which students can apply in their own corporate or governmental situation. The topic coverage includes the elements of corporate governance, role, composition, functions and assessment of boards and board structures, corporate social responsibility, and director remuneration. The subject builds upon the knowledge of the law and its practical application gained from MGT5ACL: Applied Corporate Law and MGT5CAC: Corporate Accountability. This subject is offered in partnership with the Governance Institute of Australia.

Prerequisites IBU5GW; Students must be enrolled in LMCGR - Master of Management (Corporate Governance and Risk), or by permission of subject coordinator.

Special conditions This subject is managed and delivered by the Governance Institute of Australia. Classes normally begin 1-2 weeks after standard La Trobe semester and meet for 2.0 hours weekly for 12 weeks, depending on Governance Institute timetable. Classes may be offered in intensive block mode on weekends, depending on the Governance Institute timetable. Students may be able to take the subject online, with permission from the subject coordinator. Students are recommended to contact the subject coordinator prior to enrolling. Students are recommended to take Corporate Accountability - MGT5CAC, and Applied Corporate Law - MGT5ACL prior to enrolling in this subject. International student enrolment is limited to international students enrolled in one of the following courses: LMCGR, LMMGT, LMMEI, LMMHR, LMPM, LMMSM, LMIBUS, LZFAPA.
